The role
As the company’s In-house Advisor you will be part of a global legal team to review, draft and negotiate commercial contracts with suppliers. You will advise the legal team and senior managers on legal and commercial risks associated with business operations, their potential impact and suggested mitigating actions. You will also be responsible to ensure that the company’s terms and conditions for all related products and services, including any new products/services launched, are up-to-date and in accordance with Italian / European law. This will entail drafting new clauses/schedules and working with other departments to implement these changes on our websites. You will draft and negotiate agreements with multinational customers/providers (e.g. domain names registration authorities). Experience in managing contractual documents for Italian public tenders is a plus. You will handle all customers’ legal complaints . You will also manage companies’ Intellectual Property Rights and take care of trademark and copyright issues as well as enquiries, received from customers/solicitors/third parties. You will be able to draw on external legal support from our nominated solicitors in the various jurisdictions, if required. In the performance of your duties, you will be expected to use your best endeavors to promote and maintain the interests and reputation of the Company at all times. Moreover you will assist the General Counsel in fulfilling the company law obligations, in cooperation with local consultants, regarding companies’ insurances and corporate affairs. You will also assist the General Counsel in activities related to the shareholder meetings, board of directors meetings, board resolutions, corporate governance issues, keeping company books, workplace safety, Italian legislative decree 231/2001 and regulation related to the Italian certified email (PEC) and identity provider service (SPID). You will aid in providing advice on legal and commercial risks and proposals for mitigating actions in connection with commercial contracts and support to sales and customer care staff, as required. You will assist the General Counsel, the Security and Compliance Manager as well the DPO with data privacy matters and in managing data breaches according the companies’ procedures for Italy and SEU. This will include matters connected with privacy documentation, processes and procedures (including reviewing Supplier Assessments, data mapping, DPIAs etc). Desirable requirements include specific expertise in IT law, which would enable the candidate to provide legal advice and guidance on technology-related issues and to ensure compliance with relevant laws and regulations. Additionally, this expertise can facilitate the development of effective policies and procedures for managing technology assets and protecting sensitive information.
